Synkly subscription portal terms

Provider

Synkly is operated by Panther Group LLC, operating under the trade name Synkly. References to Synkly, we, us, or our mean Panther Group LLC unless the context says otherwise.

Panther Group LLC operates from Puerto Rico, United States. Questions about these terms can be sent to support@panthergroupllc.com. Legal notices can be sent to legal@panthergroupllc.com. For notices that require mailing instructions, contact support for the current process.

Business use

The Synkly subscription portal is for business use by the owner or authorized representative of the enrolling office. V1 is intentionally scoped to one owner account, one subscription, and one business setup path.

You are responsible for keeping login credentials secure and for making sure the information submitted during signup is accurate and authorized for the business.

Clinic verification

Clinic and office accounts are subject to verification before onboarding, workspace activation, patient-facing discovery, or booking access. Checkout and billing may occur while verification is pending. By registering, you certify that all business name, legal business name, EIN, NPI, provider license, provider identity, address, and contact information submitted through the portal is accurate, current, and authorized for the enrolling organization.

Synkly may review submitted clinic information against public provider records, internal records, billing records, support communications, and other reasonable verification sources. Synkly may delay, reject, suspend, or terminate onboarding if verification is incomplete, inaccurate, suspicious, or inconsistent with the submitted account.

Providing false, misleading, unauthorized, or fraudulent clinic information is grounds for immediate termination and may be reported to payment processors, platform providers, professional boards, regulators, law enforcement, or other relevant authorities where appropriate.

Subscriptions and billing

Subscription billing is handled through Stripe Checkout and the Stripe customer portal. Synkly stores billing identifiers, subscription status, and invoice references, but does not store raw card numbers.

Monthly billing is available on every plan. Annual payment includes a 10% discount and is non-refundable. Payments are non-refundable except where required by law, where Panther Group LLC confirms a duplicate charge, billing error, unauthorized charge, or where Panther Group LLC approves a written exception.

Setup and access

Paid onboarding and setup access depend on an active subscription. Synkly may block, suspend, or delay onboarding if billing is past due, refunded, canceled, or otherwise invalid.

Workspace setup is connected to your active subscription, but billing and workspace access are managed as separate parts of the service.

Customer responsibilities

Do not use the portal to submit patient medical records, insurance card images, or other sensitive patient information unless Synkly has specifically provided an approved secure workflow for that data.

Do not bypass subscription checks, share owner credentials, interfere with billing, or use the service in a way that violates applicable law or third-party platform terms.

Limitation of liability

To the maximum extent permitted by law, Panther Group LLC and its owners, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, lost goodwill, service interruption, billing interruption, onboarding delay, or other intangible losses arising from or related to the portal.

To the maximum extent permitted by law, Panther Group LLC's total liability for claims related to the portal will not exceed the amount paid by you to Panther Group LLC through the portal in the six (6) months before the claim arose.

Where a separate Business Associate Agreement, service agreement, or written healthcare business agreement governs the relationship between Panther Group LLC and a healthcare office or business, the liability terms of that agreement control with respect to PHI, healthcare data workflows, and covered healthcare services.

Governing law and venue

These Terms are governed by the laws of the Commonwealth of Puerto Rico and applicable United States federal law, without regard to conflict-of-law principles, unless a mandatory law requires otherwise. Any dispute arising from or related to the portal will be brought in the courts of San Juan, Puerto Rico, unless the parties agree in writing to another dispute-resolution process.

Changes and termination

Synkly may update portal features, plans, pricing, and policies as the product moves from testing into production. Material commercial changes should be reflected in the signup or billing flow.

Synkly may suspend or terminate access for misuse, fraud, payment failure, security risk, or activity that threatens the service or another customer.
